Terms of Service

1. Agreement

These Terms of Service (the "Terms") govern your access to and use of the Boardroom Brief service available at boardroombrief.app (the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Boardroom Brief generates pre-call intelligence briefs based on inputs you provide. The output is generated using artificial intelligence and supplemented by web research. It is intended as preparation support for business meetings.

You acknowledge that:

  • The brief is informational and is not professional, legal, financial, or other regulated advice.
  • The output is generated probabilistically and may contain inaccuracies. You are responsible for verifying any specific claim before relying on it.
  • Reviewed tiers add a human strategist's review for additional rigour but do not constitute professional advice.

3. Pricing and tiers

The Service is offered in the tiers displayed on the Service. Each tier carries its own description, scope, and price. Pricing is in Australian Dollars (AUD) unless otherwise stated. We may update tiers and pricing from time to time, with any changes applying to new purchases only.

4. Delivery and turnaround times

Turnaround times displayed on the Service are targets only. During the launch period, some briefs may be reviewed or delivered manually. We will use reasonable efforts to deliver Instant Briefs, Strategist Briefs, High-Stakes Briefs, and other paid deliverables within the timeframe shown at purchase, but we do not guarantee delivery by a specific time unless expressly agreed in writing.

If we are unable to deliver a paid brief within a reasonable time, we may offer a regenerated brief, revised delivery timing, credit, or refund at our reasonable discretion, subject to your rights under Australian Consumer Law.

5. Free sample

A free partial sample is provided once per email address. The free sample is a teaser of the full brief and is not a complete deliverable. We may change the format or contents of the free sample at any time.

6. Team plan domain restriction

Team plans are licensed to a single organisation. All authorised users on a Team plan must register with email addresses on the same company domain. The use of multiple domains, the sharing of credentials with third parties, or the resale of briefs is not permitted.

7. Acceptable use

When using the Service, you agree not to:

  • Submit content that is confidential, commercially sensitive, or otherwise restricted from disclosure.
  • Submit personal information about third parties unless you have a legitimate basis for doing so.
  • Use the Service for unlawful, harmful, harassing, or deceptive purposes.
  • Engage in fraudulent payment activity, including using payment methods that are not your own.
  • Attempt to bypass paywalls, rate limits, or other technical restrictions.
  • Make automated, scripted, or excessive requests, scrape, or otherwise interfere with the Service or its APIs.
  • Resell, sublicense, or redistribute briefs except as expressly permitted under your tier.
  • Use the Service, prompts, outputs, workflows, or system behaviour primarily to copy, reverse engineer, train, benchmark, or develop a substantially similar competing product or service.

8. Intellectual property

You retain ownership of the inputs you submit. We grant you a non-exclusive, perpetual licence to use, copy, adapt, and share the briefs generated for your own business purposes, including internal preparation, sales conversations, meeting follow-up, and client or prospect communications. You may not resell, sublicense, package, or redistribute briefs as a standalone product or competing service.

The Service itself, the underlying systems, the prompt design, and any aggregated and de-identified data remain our property.

9. Confidentiality and your inputs

Do not submit information that is confidential, commercially sensitive, client-private, or otherwise restricted. We process your inputs to generate the brief and to operate the Service, but the Service is not designed as a secure repository for confidential information.

10. Payment and refunds

When payment is enabled on the Service, you authorise our payment processor to charge the payment method you provide. We do not store full payment card details.

Because briefs are generated on demand using paid third-party services and, in some tiers, human review, we do not offer change-of-mind refunds once a brief has been generated or delivered.

If the Service materially fails to deliver the purchased brief, or if there is a major problem with the Service, we will provide an appropriate remedy, which may include regeneration, correction, credit, or refund, subject to your rights under Australian Consumer Law.

11. Service availability and changes

We are continuing to develop the Service and may at any time modify, suspend, or discontinue features, tiers, pricing, or the Service itself, in whole or in part. We will use reasonable efforts to provide notice of material changes that affect existing purchases.

12. Disclaimers

The Service is provided "as is" and "as available" to the maximum extent permitted by law. Without limiting that:

  • We do not warrant that the Service will be uninterrupted, error-free, or available at all times.
  • We do not warrant that any brief will produce a successful outcome in any meeting or business situation.
  • We do not warrant the accuracy or completeness of any information in any brief.

Nothing in these Terms excludes any consumer guarantees or other rights you may have under Australian Consumer Law that cannot be lawfully excluded.

13. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with the Service is limited to the fees you have paid us in the twelve months immediately preceding the claim. We are not liable for any indirect, consequential, special, or punitive damages, or for loss of profits, revenue, business, data, or goodwill.

14. Termination

We may suspend or terminate your access to the Service if you breach these Terms or if continued provision of the Service would be unlawful or impractical. You may stop using the Service at any time. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be highlighted on the Service. Your continued use of the Service after a change constitutes acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales for any dispute arising out of or in connection with these Terms or the Service.
